Opal Noir Society S.r.l. (“we,” “us,” “our”) is a company registered in Milan, Italy, operating a private concierge membership service for restaurant access in Milan and surrounding areas.
These Terms and Conditions (“Terms”) govern the relationship between Opal Noir Society S.r.l. and each person who holds a membership (“member,” “you”). By accepting membership you agree to be bound by these Terms. Please read them carefully.
Our service is a personal concierge arrangement, not a booking platform or restaurant directory. We act on your behalf to secure reservations. We do not sell seats; we use our relationships to obtain them.
Membership is available by invitation or application only. Each application is reviewed personally by our team. We reserve the right to accept or decline any application without stating reasons, and to cap total membership at any time. Submission of an application creates no right to membership and no entitlement to compensation if declined.
During the application process your payment card is collected and tokenised by our payment processor, Stripe. No charge is made at the time of application. For members admitted through the standard process, the first billing cycle begins on the date of approval. Members admitted through a seasonal pre-selection cohort are subject to the separate billing terms described in the Seasonal Pre-Selection Cohorts section below.
Membership is personal and non-transferable. You may not share, assign, or sell your membership or any of its benefits to another person.
We currently offer three membership tiers. Fees are quoted inclusive of applicable Italian VAT (IVA).
Essential — €29 per month. Includes 3 booking requests per billing cycle.
Signature — €59 per month, or €649 per year. Includes 5 booking requests per billing cycle, plus additional membership benefits.
Collection — €99 per month, or €1,089 per year. Includes 10 booking requests per billing cycle, plus the full range of membership benefits.
We may introduce new tiers or adjust the features of existing tiers with 30 days’ notice.
Payments are processed by Stripe Payments Europe, Ltd. (“Stripe”), authorised by the Central Bank of Ireland and passported throughout the EEA. Your card details are transmitted directly to Stripe and stored by Stripe in compliance with PCI-DSS standards. We store only the tokenised reference Stripe returns to us.
Monthly fees are charged in advance at the start of each calendar month of membership. Annual fees are charged in full at the start of the annual period. Your membership renews automatically unless you cancel before the renewal date.
We will notify you by email at least 30 days before any price change takes effect. Continued use of the service following that notice period constitutes acceptance of the revised fees.
If a payment fails, Stripe will retry on our behalf. If the outstanding balance remains unpaid after reasonable retry attempts, your membership may be suspended until payment is received. Access is restored promptly on successful payment.
Members admitted through a seasonal pre-selection cohort receive complimentary access at the Essential tier from their date of approval until the end of the cohort period, at which point their chosen membership tier and billing cycle activate automatically. The cohort period end date is communicated to members at the time of admission and confirmed by email no less than 48 hours before any charge is applied.
Conversion dates are set per cohort and communicated to members at the time of admission. The Society reserves the right to offer seasonal pre-selection cohorts at its discretion, including adjusted trial periods and pricing for specific groups.
By completing the application and entering payment details, pre-selection members expressly consent to the automatic conversion to a paid subscription on the applicable date. No further action is required; the charge will be applied to the saved payment method on the conversion date.
Pre-selection members may cancel at any time before the conversion date at no cost. Cancellation after the conversion date is subject to the standard membership cancellation policy set out in Section 7.
Pre-selection access is personal and non-transferable, and is linked to the email address used during application. The Society reserves the right to close any seasonal pre-selection cohort at any time without notice.
If you are a consumer resident in the European Union or the United Kingdom, you have the right to withdraw from this contract within 14 calendar days of the date your membership is approved, without giving any reason (the “cooling-off period”).
By accepting membership you expressly request that we begin providing the service immediately on approval, before the 14-day cooling-off period has elapsed. You acknowledge that, as a result, if you subsequently exercise your right of withdrawal, you will be required to pay for the proportion of the service already delivered at the time you notify us of your decision to withdraw.
This is consistent with Article 59(a) of EU Directive 2011/83/EU on consumer rights and Article 57 of Italian Legislative Decree 206/2005 (the Consumer Code).
To exercise your right of withdrawal, notify us in writing at info@opalnoirsociety.com before the 14-day period expires. We will acknowledge your withdrawal promptly. Any refund owed will be issued to the original payment method within 14 days of receiving your notice.
After the 14-day cooling-off period has elapsed, cancellation is governed by Section 7 below.
You may cancel your membership at any time from your account settings or by writing to info@opalnoirsociety.com. Cancellation takes effect at the end of the current billing cycle. You retain full access to the service until that date.
We do not issue partial refunds for unused days in a billing cycle, except in the circumstances described in the Right of Withdrawal section above, or where we are at fault.
Downgrades to a lower tier take effect at the next billing boundary. You continue to receive your current tier’s benefits until then.
Upgrades to a higher tier take effect immediately. A prorated charge for the remaining days in the current cycle will be applied to your payment method at the time of upgrade.
We may terminate your membership immediately if you commit a material breach of these Terms. In that event, we will refund any amount prepaid for services not yet rendered, calculated on a pro-rata basis.
Our concierge team contacts venues on your behalf using our established relationships. We make every reasonable effort to fulfil each request, but we do not guarantee availability at any particular venue, on any particular date or at any particular time. Venues operate independently, and availability may be declined or withdrawn for reasons outside our control.
When a reservation is secured, it is made in Opal Noir Society’s name. Your identity is not disclosed to the venue unless you specifically request otherwise. We are not a party to any contract between you and the venue. Any claim arising from your experience at a venue — including cancellations, food quality, or service — lies between you and the venue directly.
If a request results in an unavailability, the request is not counted against your monthly allowance and is restored to your account.

All content made available through the Opal Noir Society platform — including venue editorial, collection curation, photography, design, and software — is the property of Opal Noir Society S.r.l. or its licensors. Your membership grants you a personal, non-transferable, non-exclusive right to access and use the platform for its intended purpose. No other rights are granted.
You may not reproduce, copy, distribute, publicly display, or commercialise any part of the platform or its content without our prior written consent.
To the fullest extent permitted by applicable law, our total aggregate liability to you for any claim arising from or in connection with your membership shall not exceed the total fees you paid to us in the 12 months immediately preceding the event giving rise to the claim.
We are not liable for any indirect, consequential, special, or punitive loss or damage, including loss of profit, loss of opportunity, or damage to reputation, even if we have been advised of the possibility of such loss.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under Italian or EU law, including liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any liability under mandatory consumer protection legislation.
We may update these Terms from time to time. We will give you at least 30 days’ written notice of any material change by email to the address registered to your account. The revised Terms will be available in the application from the date of the notice.
If you continue to use the service after the notice period expires, you are taken to have accepted the updated Terms. If you do not accept the changes, you may cancel your membership before they take effect, in accordance with Section 7.
These Terms are governed by the laws of Italy. Any dispute arising out of or in connection with these Terms that cannot be resolved informally between the parties shall be subject to the exclusive jurisdiction of the courts of Milan, Italy.
If you are a consumer resident in another EU member state, you also have the right to invoke the mandatory consumer protection provisions of your country of residence, and to bring proceedings in the courts of that country.
The European Commission provides an online dispute resolution platform at ec.europa.eu/consumers/odr, which may be used for disputes arising from online contracts.
